We are a Cayman Islands company incorporated on February 21, 2020 as an exempted company with limited liability for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses or entities (the “Business Combination”). Our efforts to identify a prospective target business will not be limited to a particular industry or geographic region.

The registration statement for our initial public offering was declared effective on January 6, 2021. On January 11, 2021, we consummated the initial public offering of 13,800,000 units (each, a “Unit” and collectively, the “Units”) at $10.00 per Unit, including 1,800,000 units subject to the underwriters’ over-allotment option. Each Unit consists of one ordinary share, $.0001 par value (” Ordinary Shares “), of the Company, and one-half of one redeemable warrant (each, a “Public Warrant”). Each Public Warrant entitles the holder to purchase one ordinary share at a price of $11.50 per share, subject to adjustment.
